Legal status quo on the authority of enterprises’ legitimate representatives

Legal regulations on the authority of legal representatives of enterprises under the Civil Code 2015, the Enterprise Law 2020, and current guiding documents still have many shortcomings and are unclear. This makes it difficult to determine the basis and scope of the representative's authority in practice, which in turn makes it challenging to establish legal liability either for the representative towards the business or for the representative and the business towards a third party. This article will analyze and evaluate the current legal situation on the authority of enterprises by comparing legal provisions in relevant legal documents, as well as make recommendations for improving the law.
